Professional Affairs Standing Committees

PROFESSIONAL AFFAIRS STANDING COMMITTEES

The members of the committees referred to below are elected by the SAMA National Council. These committees were created to assist the Board of Directors in the execution of its collective responsibility for corporate management and risks.

These Committees' Terms of Reference are approved by the Board, and are aligned with the Companies Act, the Company's Memorandum of Incorporation and Company Rules and the King Code of Governance Principles ("King III"). Copies of the Committees' Terms of Reference are available from the SAMA Head Office.

The Board acknowledges its ultimate responsibility for the actions of these Committees and is satisfied that the Committees properly discharged their responsibilities during 2013.

Executive Committee ("EXCO")

The Executive Committee consists of the SAMA Chairperson, the Vice-Chairperson, the Chairperson of the Finance Committee, and the three Chairpersons of the Membership Committees, i.e. the Chairpersons of the GPPPC, SPPPC and the President of the SAMA Trade Union. The SAMA President and SAMA General Manager are also invited to attend Executive Committee meetings.

Subject to the applicable procedures, restrictions and requirements of the Board, the Executive Committee meets between Board meetings and advises the Board on relevant decisions and business matters. In addition to serving the needs of the Board, the Executive Committee serves the needs of the workplace. Workplace issues or concerns that require executive oversight in addition to that of the General Manager will reach the Executive Committee level. Committee members then decide which issues can be dealt with at Executive Committee level and which must be referred for Board-level direction.

Audit and Risk Committee

The Audit and Risk Committee is responsible for assisting the Board in discharging its duties in respect of the safeguarding of assets, accounting systems and practices, internal control processes and the preparation of accurate Annual Financial Statements. Oversight of SAMA's risk management function had also been assigned to this Committee.

Finance Committee

The Committee's core objectives, referred to in its Terms of Reference, are:

  • To assist the directors of SAMA to discharge their duties relating to the safeguarding of assets, the operation of adequate systems, control processes and the preparation of accurate, regular management financial reporting and annual financial statements.
  • To review the annual budget and submit recommendations to the Board of Directors on the Association's financial affairs, including membership fees.
  • To monitor the quarterly financial results and provide feedback to the Board.
  • To act as management committee for the Benevolent Fund

Remuneration Committee

The Remuneration Committee oversees the accurate determination of SAMA's employee remuneration, approves annual increases and decides on other salary-related matters.

The members of the Remuneration Committee comprise the Chairperson and Vice-Chairperson of the Association, the Chairperson and Vice-Chairperson of the Finance Committee and the President of the Trade Union.

Constitutional Matters Committee ("CMC")

The role of the CMC is to advise the board on matters relating to the constitutional matters, structures and processes of SAMA, the evaluation of the constitutional documentation of the Association and recommendation to the board on matters relating thereto.

Education Science and Technology Committee ("EST")

The Committee's core objectives are:

  • Addressing the lack of PhDs in the country by way of, amongst other, finding SAMA sponsorship for PhD research initiatives.
  • Addressing the lack of medical research in the country in general through various means.
  • Partaking in health technology development in conjunction with the Department of Health.
  • Partaking in education and training development through links with the HPCSA, the Committee of Medical Deans, ADASA, SARA and the Foundation for Professional Development.
  • Review and maintenance of practice guidelines.
  • Oversight of the activities of the Continual Professional Development Accreditation Committee.
  • Oversight of the activities of SAMAREC.

Health Policy Committee ("HPC")

Human Rights Law and Ethics Committee (HRLE)

The Committee's core objectives are:

  • HRLE contributes to the SAMA vision by empowering doctors to improve the health of the nation by identifying priority areas upon which they focus their efforts;
  • HRLE acts in an advisory capacity to members on matters pertaining to human rights, law and ethics;
  • The Committee provides expertise and training for members through ethics, human rights and medical law for continued professional development; and
  • The Committee provides input on legislation, policies and guidelines that affects the profession and the health of the population.

Social and Ethics Committee

The Social and Ethics Committee is a statutory committee established in terms of the requirements of the Companies Act, No 71 of 2008, and necessitated by SAMA's very high Public Interest Score. Its Terms of Reference are informed by the statutory requirements of Social and Ethics Committees. The Committee receives reports from management on a variety of issues including Corporate Social Responsibility matters regarding both SAMA members and employees, HR policies, corporate policies like the SAMA Communication Policy and fulfillment of BEE requirements, to name but a few.

Health and Medicine Publishing Group (Pty) Ltd ("HMPG")

HMPG is a 100% subsidiary of SAMA and is the leading medical media house in South Africa. The highly respected medical journals published by the HMPG are available to SAMA members as part of their SAMA membership benefits. Further information on HMPG is available at www.hmpg.co.za.

Foundation for Professional Development (Pty) Ltd ("FPD")

SAMA owns 90% of the shares in the FPD for-profit company. The Foundation for Professional Development actively strives to build a better society through education and capacity development. Its mission is to catalyse social change through developing people, strengthening systems and providing innovative solutions. FPD is involved in a wide variety of independent community engagement projects and business units. Its Private Higher Educational Institution (PHEI) encompasses FPD's social responsibility-focused educational objectives by way of three schools - a School of Health Sciences, a Business School and a School of Education. SAMA Cape Property Holdings (Pty) Ltd

This subsidiary functions as vehicle for activities not classified as membership activities in terms of applicable legislation, and immovable property owned by SAMA is housed therein.

Ujambi Medical Enterprises (Pty) Ltd ("Ujambi")

During 2013 Ujambi remained dormant, but the company would become active when alternative revenue-creating activities might in future be housed therein.

The SAMA CPD Accreditation Committee is a professional board approved by the HPCSA. CPD events are accredited by the Committee in terms of the standard operating procedures that can be found here
